How does ChatGPT assist with Legal Document Drafting?

ChatGPT was trained on a large corpus of text from the internet, which includes a wide range of information, including legal websites, legal databases, and legal textbooks. During its training, the model learned patterns and relationships within the text data, and it uses that information to generate responses to new text inputs.

To write a legal document, ChatGPT would need to be trained on legal writing and familiarized with the relevant legal principles and requirements for the specific document type.

Fine-tuning and Customizing ChatGPT: ChatGPT is trained using a variant of the Transformer architecture and a deep learning technique called unsupervised learning. While ChatGPT is powerful in its out of the box state, it's most effective, when it is customized and trained specifically for the organization that is using it. How can you Train/Fine Tune ChatGPT to write legal documents?

• Provide examples: Provide ChatGPT with examples of legal documents in the desired practice area, such as contracts, briefs, or pleadings. These examples will help ChatGPT learn the language and style used in that practice area.

• Identify key terms: Identify the key terms and concepts relevant to the practice area and provide definitions or explanations for them. This will help ChatGPT understand the specific terminology used in the area.

• Create a dataset: Collect a dataset of documents and examples for the desired practice area, and label them with appropriate tags and categories.

• Fine-tune: Use the dataset to fine-tune ChatGPTs language model to better understand the language and structure of the desired legal documents. This will help ChatGPT generate more accurate and effective documents for that practice area.

Here are a few examples of how you could train Chat GPT in the Practice Area of Employment Law in California:

• Employment contracts: Provide ChatGPT with examples of employment contracts used in California, along with any standard clauses and provisions typically included in those contracts.

• Wage and hour laws: Collect information and resources related to California's wage and hour laws, including minimum wage rates, overtime requirements, meal and rest breaks, and recordkeeping obligations.

• Discrimination and harassment laws: Provide Chat GPT with information on California's discrimination and harassment laws, including the protected classes and prohibited conduct under state law.

• Employment policies and procedures: Share policies and procedures typically used by California employers, such as anti-harassment policies, disciplinary procedures, and employee handbooks.

• Relevant case law: Identify and provide summaries of relevant California state and federal court cases related to employment law, including cases involving discrimination, harassment, wrongful termination, and wage and hour claims.

What are some examples of Legal Document Review? 

After digesting an employment contract, these are some of the observations that we received from ChatGPT during our document review.

• The agreement defines the position, duties, compensation, and benefits of the employee, as well as the general and specific obligations and the grounds for termination.
• The term of employment is fixed for three years, after which it becomes "at will" unless extended or shortened by a subsequent agreement.
• The compensation and benefits are subject to applicable laws, withholding, and the discretion of the company management, and are based on the policies, programs, and plans available to other executives or officers.
• The employee is expected to use his or her unique skills, abilities, and experiences to benefit the company and perform the assigned duties diligently and exclusively for the company, without creating obligations or conflicts of interest with other entities.
• The termination provisions allow the employee and the company to terminate the agreement with notice, with or without cause, or for cause, and require the parties to fulfill their obligations during the notice period.
• The agreement is governed by the terms and conditions contained herein, unless they conflict with the policies and procedures manual or existing practices, in which case this agreement prevails.

Depending on the circumstances, some additional details or provisions that the parties may consider including in the agreement are:

• Confidentiality and non-disclosure obligations regarding the company's trade secrets, proprietary information, and intellectual property, and the employee's obligations after termination of employment.
• Non-compete and non-solicitation restrictions regarding the employee's ability to work for or with competitors, clients, or employees of the company after termination of employment, and the scope and duration of such restrictions.
• Intellectual property rights regarding the ownership and use of inventions, discoveries, works of authorship, and other intellectual property created or used by the employee during or after employment, and the procedures for disclosing and assigning such rights to the company.
• Dispute resolution mechanisms regarding the procedures for resolving any disputes or disagreements arising out of or related to the agreement, such as mediation, arbitration, or litigation, and the jurisdiction and venue for such proceedings.
• Governing law and severability provisions regarding the applicable law that governs the agreement and the interpretation and enforcement of its terms, and the effect of any invalid or unenforceable provisions on the remaining provisions of the agreement.

The training process for ChatGPT can take several weeks or even months, depending on the size and complexity of the model and the amount of data used for training. Additionally, training large language models like ChatGPT requires significant computational resources, including GPUs and high-performance computing clusters.
